The plaintiff sues the defendants1 and alleges breach of contract, unjust enrichment, violations of Sections 5(a) and 5(b) of the Securities Act, violations of Section 10(b) of the Exchange Act, and fraudulent and negligent misrepresentation. The defendants move (Doc. 32) to dismiss for lack of personal jurisdiction and for failure to state a cliam.
