THIS MATTER is before the Court upon named Defendant's motions to dismiss for failure to state claims upon which relief can be granted. Rule 12(b)(6), Fed.R.Civ.P. After careful consideration of the motions and memoranda in support and opposition, and being fully advised, this Court GRANTS the motions for the reasons stated below.
