On 25 November 1968, Merchants Mortgage Company (Merchants) filed in the Circuit Court of Baltimore City a bill of complaint against Ralph Lubow, at one time an employee and later an officer and director of Merchants, alleging a breach of Lubow's duty of loyalty, and seeking discovery, an accounting and other relief.
